These Terms and Conditions of Service (“Agreement”) govern your access to and use of the OpticEdge Sales, Stock, and Inventory Management SaaS Platform.

- Applicable To: All Subscribed Dealers, Agents, Distributors, and Authorized Users (“Subscriber,” “Dealer,” or “You”)
1. Acceptance of Terms
By creating an account, accessing, or subscribing to the OpticEdge platform, you agree to be bound by these Terms and Conditions (“Agreement”) and our Privacy Policy. If you are entering into this Agreement on behalf of a business entity (e.g., a phone store, distributorship, or retail branch), you represent that you have the legal authority to bind that entity.
2. License Grant & Account Access
A. Software Subscription Right
Subject to your compliance with these Terms and timely payment of subscription fees, OpticEdge Africa grants you a non-exclusive, non-transferable, revocable right to access and use the platform for your internal commercial operations. This is a software rental and subscription agreement, not a sale of software.
B. Account Security & User Roles
- You are responsible for maintaining the confidentiality of your administrator and branch user login credentials.
- Any action, inventory transfer, sales entry, or payout initiated under your account credentials (including branch sub-accounts and agent credentials) will be deemed your authorized action.
3. Acceptable Use Policy & Restrictions
You agree not to (and will not permit any third party or agent to):
- Reverse engineer, decompile, copy, or duplicate any portion of the OpticEdge platform code, database design, or user interface.
- Use the system to record fraudulent transactions, counterfeit IMEI/serial numbers, or unlawful device sales.
- Attempt to bypass multi-tenant security barriers to access another dealer’s store metrics, sales reports, or customer data.
- Introduce malicious code, automated bots, or scripts that disrupt system performance, database operations, or server security.
4. Monthly Subscription Fees, Trials & Payment Terms
A. Monthly Subscription Basis
- Access to OpticEdge is provided on a monthly recurring subscription model.
- Subscription fees are billed in advance for each 30-day billing cycle.
B. Installation & Free Trial Usage
- Under certain circumstances—such as initial system deployment, store onboarding, or specialized hardware/software setup—OpticEdge Africa may grant a temporary free trial usage period.
- The terms, length, and scope of any trial period will be determined at the sole discretion of OpticEdge Africa and communicated to the Dealer during onboarding.
- Upon the expiration of the agreed trial period, continued access to the system will require payment of the applicable monthly subscription fee.
C. Payment Obligations & Renewal
- Subscriptions must be settled on or before the due date via supported payment channels (e.g., Mobile Money, Bank Transfer, or Direct Debit).
- Fees are non-refundable once the active billing period has commenced, except as required by law or explicit written agreement.
D. Non-Payment & Account Suspension
If monthly subscription fees are not received by the due date following the end of a billing cycle or trial period, OpticEdge Africa reserves the right to suspend account access—including blocking POS entry, IMEI tracking, and multi-branch inventory transfers—until all outstanding balances are settled.
5. Service Level Agreement (SLA) & System Availability
- Target Uptime: OpticEdge Africa strives to maintain 99.5% platform uptime for normal operation, excluding scheduled maintenance windows.
- Maintenance Windows: Routine updates and server optimizations will be scheduled during off-peak commercial hours whenever possible, with advance notice posted on the Admin Dashboard or via system announcements.
6. Proprietary Rights & Data Ownership
A. Company Intellectual Property
OpticEdge Africa retains all rights, title, and interest in and to the platform, including software code, system UI/UX designs, workflows, database schemas, and registered trademarks.
B. Dealer Data Ownership
You retain exclusive ownership of all proprietary data you upload into the system, including your sales history, customer databases, device IMEI registers, and financial ledgers. You grant OpticEdge Africa a limited license to process this data solely to provide and maintain the SaaS service.
7. Term, Termination & Data Offboarding
A. Termination by Subscriber
You may cancel your monthly subscription at any time prior to the next billing cycle through the Subscription / Store Settings menu or by notifying support.
B. Termination by Provider
OpticEdge Africa may terminate or suspend your account immediately without prior notice if you breach these Terms, engage in fraudulent transactions, or fail to pay subscription fees.
C. Data Export upon Termination
Upon cancellation or expiration, you will be granted a limited grace period (e.g., 14 days) to export your store inventory and transaction logs in standard formats (CSV/Excel). Following the grace period, OpticEdge Africa may purge or archive inactive store databases in accordance with system storage policies.
8. Limitation of Liability & Indemnification
A. Limitation of Liability
To the maximum extent permitted by applicable law, OpticEdge Africa shall not be liable for any indirect, incidental, consequential, or special damages, including lost revenue, lost profit (Mauzo ya Leo / Net Profit), loss of business data, or store downtime arising out of or related to your use of the platform.
Our maximum cumulative aggregate liability under this Agreement shall not exceed the total subscription fees paid by you to OpticEdge Africa in the three (3) months preceding the event giving rise to the claim.
B. Dealer Indemnification
You agree to defend, indemnify, and hold harmless OpticEdge Africa Limited from any claims, losses, or legal fees resulting from your breach of this Agreement, unlawful trade practices, or disputes with your agents or end-customers.
9. Disclaimer of Warranties
The OpticEdge platform is provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, OpticEdge Africa Limited disclaims all warranties, whether express, implied, or statutory, including but not limited to any warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, error-free, or completely secure.
10. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising under or in connection with these Terms shall first be resolved through good-faith mutual negotiations. If unresolved, disputes shall be submitted to the competent courts of Dar es Salaam, Tanzania.
11. Privacy & Data Protection
We are committed to protecting your privacy and the security of your data. OpticEdge Africa Limited processes personal and business data in accordance with applicable data protection laws and our Privacy Policy. We implement industry-standard technical and organizational measures to safeguard your information against unauthorized access, loss, or alteration.
12. Force Majeure
OpticEdge Africa Limited shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or strikes.
13. Modifications to Terms
We reserve the right to update or modify these Terms and Conditions at any time. Notice of significant changes will be provided to Subscribers via the Admin Dashboard or system announcements. Continued use of the platform after such modifications constitutes your acceptance of the revised Agreement.
